Terms and Conditions of Scouta K.K.

These Terms and Conditions ("Terms") govern your use of the website and platform operated by Scouta K.K. ("Scouta", "we", "our", or "us") at https://www.scouta.jp. By using our website, platform, or services, you agree to be bound by these Terms. If you do not agree, please refrain from using Scouta.

1. Purpose of the Platform and Services

Scouta operates both as a digital recruitment platform and a licensed recruitment agency in Japan. We connect job seekers (“candidates”) and employers (“clients”) directly, combining human recruitment expertise with technology to make hiring faster, fairer, and more transparent.

Scouta provides two ways to connect: through our platform, where candidates and clients can match and communicate directly; and through traditional agency recruitment, where Scouta consultants facilitate introductions and hiring on behalf of clients.

In both cases, Scouta acts as a facilitator, not as an employer, guarantor, or legal representative for either party.

2. User Responsibilities

All users agree to use Scouta professionally and in compliance with applicable laws. You must:

  • Provide accurate, complete, and truthful information at all times
  • Not post or transmit false, misleading, defamatory, discriminatory, or harmful content
  • Not upload malware, spam, or automated scripts that could interfere with operations
  • Not misuse the platform or harass other users in any way
  • Scouta reserves the right to restrict, suspend, or terminate access if any misuse or breach of these Terms occurs

3. Platform and Agency Use

Scouta offers both digital and agency-based recruitment services.

Candidates can view and apply for jobs through the platform. Once a candidate applies, their profile becomes visible to the hiring company, and communication opens directly.

Clients can post jobs, view candidate matches, and invite candidates to apply.

Scouta's agency team may also introduce candidates to clients directly outside the platform, or support candidates in the hiring process.

Candidates and clients may continue communication through the platform or outside of it (email, phone, or meetings). Scouta is not responsible for the accuracy or completeness of any information provided by either party and cannot verify all data entered or shared.

Scouta shall not be held liable for:

  • Any misrepresentation, omission, or inaccuracy in candidate or client information
  • Any decisions, contracts, or outcomes made as a result of introductions
  • Any damages, losses, or disputes arising from communication between users, whether inside or outside the platform

4. Account and Security

If you create an account with Scouta, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify info@scouta.jp immediately if you suspect unauthorized access. Scouta will not be liable for any losses resulting from misuse or unauthorized access caused by failure to maintain account security.

5. Job Postings and Applications

Clients are solely responsible for the accuracy and legality of job postings. Candidates are responsible for ensuring their profiles and applications are truthful and up to date. Scouta reserves the right to edit, remove, or suspend any content that violates these Terms or applicable laws.

All data shared between users must be treated as confidential and used only for legitimate hiring purposes. Users may not disclose, distribute, or misuse personal or company data obtained through Scouta.

6. Scouta's Role and Limitation of Liability

Scouta facilitates communication and recruitment introductions but is not a party to any employment contract between candidates and clients. We do not guarantee:

  • That a position will be filled or that a candidate will be hired
  • The accuracy of any job description, profile, or user-submitted data
  • Any particular result from using our platform or agency services

Scouta is not liable for any direct, indirect, or consequential damages, losses, or disputes arising from:

  • Communication, negotiation, or agreements between candidates and clients
  • Misuse or misrepresentation of information
  • Technical issues, service interruptions, or delays

Scouta's total liability under these Terms shall not exceed the amount paid (if any) for use of our services.

7. Data Protection and Privacy

Personal data is handled in accordance with Scouta's Privacy Policy, which forms part of these Terms. By using Scouta, you consent to our collection, storage, and processing of your data as described in the Privacy Policy.

8. Intellectual Property

All content, design, code, and materials on Scouta's website and platform are owned or licensed by Scouta K.K. and protected under copyright and intellectual property laws. Users may not copy, reproduce, distribute, or modify any part of the service without written authorization.

You retain ownership of your submitted information but grant Scouta a limited license to use it solely for operating, improving, and marketing the service.

9. Service Availability

Scouta aims to provide stable, continuous service but cannot guarantee uninterrupted access. We may temporarily suspend or modify services for maintenance or improvement. Scouta is not liable for data loss, downtime, or damages caused by technical or external issues.

10. Third-Party Links

Scouta may include links to third-party websites or tools for convenience. We are not responsible for the accuracy, content, or privacy practices of such sites. Use of third-party links is entirely at your own discretion and risk.

11. Indemnity

You agree to indemnify and hold harmless Scouta K.K., its directors, officers, employees, and partners from any claims, damages, or expenses arising from:

  • Your use or misuse of the platform or services
  • Your breach of these Terms
  • Inaccurate, misleading, or false information provided by you

12. Termination

Scouta may suspend or terminate your account or access to the platform at any time, without notice, if you violate these Terms or misuse the service. Termination does not affect rights or obligations that arose before termination.

13. Amendments

Scouta may update or revise these Terms periodically. The most recent version will always be available onhttps://www.scouta.jp with an updated “Last Updated” date. Continued use of our services after changes constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any dispute arising in relation to these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court.
